Terms and Conditions for NexusPinnacle

1. Definitions

  • Services: The range of financial modelling services provided by NexusPinnacle, including but not limited to financial planning, transaction modelling, and restructuring modelling.
  • Client: Any individual, business entity, or organization that engages with NexusPinnacle for services.

2. Services Provided

NexusPinnacle specializes in financial modelling services tailored to meet the unique needs of our clients. Detailed descriptions of services will be included in specific proposals or service agreements.

3. Client Obligations

Clients agree to:

  • Provide accurate and comprehensive information required by NexusPinnacle for effective service delivery.
  • Responsible for decisions and actions taken based on the outputs and recommendations provided through our financial models.
  • Comply with all applicable laws and regulations in relation to their use of our services.

4. Payment Terms

  • Fees: All fees for services provided will be outlined in individual service agreements or proposals.
  • Payment Schedule: Clients will be required to pay a 5% deposit upon signing the agreement, with the remaining balance due upon project completion or as otherwise outlined in the payment plan.
  • Invoice Issuance: Invoices will be issued as agreed [monthly/upon a specific milestone/completion] and are due within 30 days from the invoice date unless otherwise specified.
  • Late Payments: Any invoices not paid within the specified timeframe may incur a late fee of 8% per month, calculated from the due date.

5. Confidentiality

Both parties agree to protect confidential information exchanged during the course of working together. This includes proprietary data, financial information, business strategies, and personal details. Confidentiality obligations shall survive termination of the agreement.

6. Intellectual Property Rights

  • All intellectual property rights, including models, reports, and associated materials developed by NexusPinnacle, remain the property of NexusPinnacle.
  • Clients are granted a limited, non-exclusive license to use the deliverables for internal purposes only. Any additional use or distribution requires prior written consent from NexusPinnacle.

7. Limitation of Liability

  • NexusPinnacle shall not be liable for any decisions made or actions taken by the client based on information or models provided. Clients assume all risk and responsibility for decisions made based on NexusPinnacle’s outputs.
  • NexusPinnacle’s liability for any claims arising from the use of its services shall be limited to the fees paid by the client for the specific service that gave rise to the claim.
  • Under no circumstances shall NexusPinnacle be liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate the agreement with written notice if the other party breaches any material term and fails to remedy such breach within 30 days of receipt of notice. Upon termination, all outstanding payments and obligations must be settled.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of The Netherlands.

10. Amendments to Terms

NexusPinnacle reserves the right to modify or update these Terms and Conditions at any time. Clients will be notified of substantial changes. Continued use of services after changes will constitute acceptance of the modified Terms and Conditions.
